Revolt's Short And Fresh: HBCU Film Contest Rules

REVOLT’s Short & Fresh: HBCU Edition Rules
All submissions must be 5 to 40 minutes in length, told through the lens of Black Excellence or hip-hop culture, and be written or directed by current HBCU students or HBCU alumni.

HOW TO ENTER:
To enter the contest, filmmakers must create an AudPop account and follow the instructions from the contest landing page located at: https://audpop.com/revolt/revoltshortandfreshhbcuedition

The contest opens on Friday, August 19th, 2022 at 12p ET and submissions close on Friday, September 30th, 2022 at 8p ET.

The winners will be notified by Monday, October 3rd, 2022

This contest will be hosted in one round and the winners will be chosen by the REVOLT team (“Sponsor” or “Sponsors”)

From the entries, REVOLT will select up to 10 winners whose films will be distributed by REVOLT in an episode of REVOLT TV’s “Short & Fresh;” screened at an upcoming REVOLT event in partnership with Xfinity; and receive a prize payment based on film duration ($50 USD per minute of content, with a five-minute minimum and 40-minute maximum).

To enter, you must have a valid AudPop account. Signing up for AudPop is free of charge.

No purchase necessary to enter or claim a prize. A purchase does not increase your chances of winning. Odds of winning will depend on the total number of entries received. Entry via AudPop account and connection is required. You must have the authority to submit the film for our consideration.

Anyone may submit to this contest, but videos will be judged for admission into the contest before jury voting opens. Preliminary judging will be based on the quality of content and adherence to the assignment. Videos will be judged by a score of 1-3. Videos that score a 1 will not be allowed to compete in the contest. 

We will require each winner to represent to REVOLT that you have the sole right and authority to enter the film into the Contest; that you own the copyright in the film; and that the film (i) does not infringe any third-party rights, including rights of publicity or privacy; (ii) is not defamatory or indecent, and (iii) does not violate any applicable laws. You must have obtained and be able to prove that you have all the necessary rights to the entirety of the film, including but not limited to all music, all footage, and signed releases from any participants or licensors of third party elements included in the film (e.g., artwork, trademarks, etc.). Creative commons licenses will not be accepted and do not prove that you have the rights to the music on your film. There must not be pending or anticipated litigation regarding the film. You may have to provide proof of rights.

You agree to execute any documentation required by AudPop and/or REVOLT, in their sole discretion, to confirm such assignment to, and use and dissemination of the film by, AudPop and REVOLT, in accordance with these rules.

You must be able to prove that you currently attend, or have attended, an HBCU. Proof may include: school paperwork, school ID, student e-mail address, and more. Please do not submit transcripts. If HBCU attendance cannot be verified, you will be disqualified

Entries will be evaluated based on the following judging criteria:
* Creativity
* Technical Merit
* Adherence to the Assignment

NON-EXCLUSIVE RIGHTS PROVISION:
By submitting your film to this contest and being deemed a winner (non-Honorable Mention), you (Licensor) agree to grant to REVOLT (Licensee) the rights to your film subject to the terms and conditions set forth below.  You may be required to execute appropriate documentation with REVOLT confirming these rights and conditions:

·       Term: 3 Years, Starting from Date of Initial Exhibition

·       Number of Exhibitions: Unlimited

·       Territory: Worldwide

·       Licensed Rights: Basic cable, free television and all other methods of cable, satellite television and IPTV/broadband transmission and television delivery systems (including without limitation, broadcast television); Television Everywhere (TVE); linear streaming; Video-on-Demand (VOD), both via cable/satellite as well as to include REVOLT’s digital distribution channels, such as apps, free video on demand (FVOD), subscription video on demand (SVOD), ad-supported video on demand (AVOD), and near video on demand (NVOD); and promotional rights (collectively, “Licensed Rights”).  The grant of rights to promote the film commence 60 days prior to its initial exhibition, i.e., the commencement of the Term. All rights are granted during the Term on a non-exclusive basis.

·       Appearance: Licensor acknowledges and agrees that, in addition to the rights set forth above, REVOLT shall have the right to exhibit the Program publicly with an invited audience during the Term at a location of its choosing (the “Event”), and, if available and in the area, Licensor shall make good faith efforts to attend the Event and participate in a panel discussion and Q&A session with the attendees. If Licensor is unable to attend the Event, REVOLT may hold the Event without Licensor’s attendance. Nothing herein shall require REVOLT to hold the Event.  Nothing herein shall require REVOLT to hold the Event or any public screening. 

·       Clearances: Licensor represents and warrants that Licensor (i) has the full right, power and authority to enter into and be bound by this Agreement; (ii) shall be solely responsible for obtaining all necessary third party rights, consents and permissions necessary for the production and exploitation of the Deliverables as contemplated herein; and (iii) the use of the Deliverables by Licensee as permitted hereunder (including, without limitation, in the marketing and advertising thereof) will not violate or infringe the rights of any third party.  Licensor shall indemnify and hold Licensee harmless from and against any third party claim against Licensee or its designees or licensees arising out of or in connection with Licensor’s breach of any of the foregoing representations and warranties or other provision of this agreement in connection with Licensor’s negligent or intentional acts or omissions.  Licensor will not settle any claim in a manner adverse to Licensee without securing Licensee’s prior written consent.

·       Trademarks: Subject to the terms and conditions of this Agreement, Licensor grants to Licensee the right to use Licensor’s and the Program’s trademarks, trade names, titles and logo designs and company descriptions as prepared and delivered to Licensee by Licensor, in any medium in the Territory during the Term in connection with the distribution, exhibition, exploitation, advertising, marketing materials, and/or promotional goods distributed in conjunction with the Program.

·       Formatting: Licensee reserves the right to make alterations or edits to the program for commercial break insertion, compliance with Standards & Practices for dayparts, and standard television and digital formatting, including but not limited to re-packaging for the “Short & Fresh” anthology format.

·       Deliverables: Winners will provide these materials (collectively, the “Deliverables”) within three (3) calendar days of notification of winning status:

o   Signed short-form agreement memorializing the Non-Exclusive Rights outlined herein

o   Proof of Attendance at HBCU (school ID, certificate or degree, e-mail address, yearbook, etc.)

o   Cue Sheet for all applicable music

o   W9

o   Invoice

o   One Headshot Photo (16x9)

o   16:9 aspect ratio

o   Filmmaker Info:

        • Location (where you operate primarily)
        • HBCU School Attended
        • Twitter or Instagram Handle (or whatever preferable Social Media handle)
        • One fun fact about the filmmaker or the project

o   Filmmaker Video:

        • In order to promote you and your film, we ask that you send us a video that can run in the Short & Fresh episode and online promoting your short film. Here are some tips and guidelines:
          • If shooting on your phone, please shoot vertically.
          • Please make sure you’re in a well-lit & quiet area.
          • Don’t worry about the editing. We’ll handle that on our end.
        • Please introduce yourself and your film. (60 seconds or less)
          • EXAMPLE: “Hey REVOLT! I’m _____ and I’m excited to share my short film ______ with you.”
        • What inspired you to create this short film? (2 mins or less)
          • EXAMPLE: “I really wanted to make this film because ________”
        • What’s your next project? (2 mins or less)
          • EXAMPLE: “I’m currently working on ________”
        • How has attending an HBCU impacted your career as a filmmaker?
          • EXAMPLE: “Attending an HBCU impacted my career as a filmmaker by ________”
        • Who would you collaborate with to make a film? (Think of your dream collab) (2 mins or less)
          • EXAMPLE: “My dream collaboration on a film would be ______”
        • “I’m _________, writer/director of __________. Watch my short film on REVOLT’s Short & Fresh, this Friday @ 10p ET.”

You agree that REVOLT and AudPop shall have the exclusive right to use, edit and distribute this short-form video or any part thereof within REVOLT’s sole discretion.  You agree to execute any documentation required by AudPop and/or REVOLT, in their sole discretion, to confirm such assignment to, and unrestricted use and dissemination by, AudPop and REVOLT.

Prizes: REVOLT is responsible for all prizes and payments as outlined above. Payments will be made within 30 days of REVOLT receiving all Deliverables. For tax reporting purposes, the winner(s) may be required to provide REVOLT with a valid social security number before the prize is awarded. An IRS Form 1099 may be issued in the name of winner(s) or, if a minor in the jurisdiction in which they reside, in the name of their parent or legal guardian, for the actual value of the prize(s) received. Prizes are subject to change.

Conditions:  Payments of all federal, state, and local taxes are solely the responsibility of the winner.  Winner may be required to sign an IRS Form W-9 with the winner’s full social security number or the equivalent.  Failure to submit a Form W-9 upon request may result in forfeiture of the prize.  All monetary prizes will be reported to the IRS to the extent required.

In the event a prize is mailed to a winner, it will be with the prior written consent of the winner and therefore, winner assumes the risk of its loss.  REVOLT is not responsible for the safe arrival of a prize.  REVOLT is not responsible if a potential winner does not receive his/her prize because erroneous, expired, cancelled, fraudulent, or fake information was provided during the entry.  Only the prize(s) set forth in these Official Rules will be awarded.  

Redeeming Prizes: Finalists will be notified via email on or before Monday, October 3rd, 2022. All winners are subject to verification at the sole discretion of REVOLT and AudPop. As part of the verification process, AudPop or REVOLT may, without otherwise altering the grant of rights to contest entities, require potential winners to sign and return an affidavit of eligibility, and except where prohibited by law, a liability and publicity release. Any and all documents submitted become the property of REVOLT and will not be returned. Filmmakers from outside of the US may submit to this contest. 

All federal, state and local laws apply. By participating, entrants agree (i) to be bound by these Official Rules, including all eligibility requirements, and (ii) to be bound by the decisions of AudPop and REVOLT, including the interpretations of these Official Rules, which are final and binding in all matters relating to the contest. AudPop and REVOLT are not responsible for (i) lost, late, misdirected, deceptive, damaged, garbled or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone-equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by AudPop on account of technical problems or traffic congestion on the internet or at any website or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the contest. AudPop and REVOLT reserve the right to permanently disqualify from this contest any person they believe has violated these Official Rules.

AudPop and REVOLT reserve the right to terminate, cancel, suspend and/or modify the contest if any fraud, virus or other problems corrupt the administration, security or proper play of the contest, as determined by AudPop and REVOLT in their sole discretion.

If a contest is terminated before the end date/time, REVOLT will determine the winner from all eligible entries received as of the termination date/time. If any such malfunction, error, disruption or similar damage occurs and impairs the administration, security, fairness, integrity or proper play of the contest, AudPop, and REVOLT may, in their sole discretion, suspend or terminate the contest by posting a notice at theaudienceawards.com and/or revolt.tv.

In the event of a dispute regarding the identity of the individual who submitted an entry or who is authorized to submit an entry, REVOLT will disqualify the entry.  Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void.

YOUR ACCOUNT TERMS: You are responsible for your use of the services and for any content accessed or made available to others through your account, even if that content is accessed or made available by others. You are responsible for maintaining the security of your account login information and for any activities or actions occurring under your account. AudPop and REVOLT encourage you to use a "strong" password (passwords that use a combination of upper and lowercase letters, numbers, and symbols) for your account. AudPop and REVOLT will not be responsible for any loss or damages resulting from your failure to comply with this obligation.

Each account login may only be used by one person – a single login shared by multiple people is not permitted. Fake email addresses are not allowed. You must be a human. Accounts registered by “bots” or other automated methods are not permitted. One person or legal entity may not maintain more than one free account.

NOTE ABOUT MOBILE: If you participate in the contest via your wireless mobile device (which may only be available via participating wireless carriers and is not required to enter), standard messaging or data rates will apply according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply and may appear on your mobile phone bill or be deducted from your prepaid account balance.

REVOLT reserves the right to make changes in the Official Rules, including the substitution of a prize of greater or equivalent value, which will become effective upon announcement.

Failure to comply with the Official Rules may result in Participant’s disqualification solely at the discretion of REVOLT.

Indemnification; Limitation of Liability: NEITHER REVOLT, AUDPOP, NOR THEIR SUBSIDIARIES AND AFFILIATED ENTITIES IS RESPONSIBLE FOR PRINTING OR TYPOGRAPHICAL ERRORS IN ANY CONTEST-RELATED MATERIALS OR TRANSACTIONS THAT ARE PROCESSED LATE OR INCORRECTLY OR ARE LOST DUE TO COMPUTER OR ELECTRONIC MALFUNCTION.

REVOLT AND AUDPOP ARE NOT RESPONSIBLE FOR TECHNICAL, HARDWARE, SOFTWARE, OR TELEPHONE FAILURE OF ANY KIND, LOST OR UNAVAILABLE NETWORK CONNECTIONS OR FRAUD, INCOMPLETE, GARBLED, OR DELAYED COMPUTER TRANSMISSION WHETHER CAUSED BY REVOLT, USER, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE CONTEST, OR BY ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE PROCESS OF SUBMISSIONS WHICH MAY LIMIT A PARTICIPANT'S ABILITY TO PARTICIPATE IN THIS CONTEST. NEITHER REVOLT, AUDPOP, NOR THEIR SUBSIDIARIES AND AFFILIATED ENTITIES ARE RESPONSIBLE FOR ANY DAMAGES OR INJURY INCURRED BY WINNER AND GUESTS AS A RESULT OF WINNING.

BY ENTERING, PARTICIPANTS AGREE TO RELEASE, HOLD HARMLESS, DEFEND AND INDEMNIFY REVOLT, AUDPOP, AND BOTH REVOLT’S AND AUDPOP’S RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, AND ANY AND ALL OTHER COMPANIES ASSOCIATED WITH THIS CONTEST (COLLECTIVELY, THE “RELEASED PARTIES”) AGAINST ANY AND ALL LIABILITY, DAMAGES, OR CAUSES OR ACTION (HOWEVER NAMED OR DESCRIBED), RELATED TO OR ARISING OUT OF (I) THE CONTEST, (II) PARTICIPANT’S PARTICIPATION IN THE CONTEST, (III) THE SUBMITTED FILM AND ALL RIGHTS THEREIN; AND (IV) THE RECEIPT OR USE OR MISUSE OF THE PRIZE(S) AWARDED HEREIN.  POSSIBLE CLAIMS OR CAUSES OF ACTION INCLUDE, BUT ARE NOT LIMITED TO, INFRINGEMENT OF ANY RIGHT OF PUBLICITY OR INTELLECTUAL PROPERTY; THREATENED OR ACTUAL INJURY, LOSS, OR DAMAGE TO ANY PERSON, INCLUDING DEATH AND DISABILITY; DEFAMATION OR PORTRAYAL IN A FALSE LIGHT (INTENTIONAL AND UNINTENTIONAL); AND DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF SUCH PARTICIPANT’S PARTICIPATION IN THE CONTEST OR RECEIPT OR USE OR MISUSE OF ANY PRIZE.  IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE FOR OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THIS CONTEST.

APPLICABLE LAW: The Contest and these Official Rules shall be construed and governed in accordance with the substantive laws of the State of California. By participating, entrants’ consent to the exclusive jurisdiction and venue of the federal, state and local courts located in California.

MISCELLANEOUS: In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. REVOLT’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. To the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on REVOLT’s website, AudPop’s website or elsewhere, these Official Rules control.

ELIGIBILITY: The contest is open to the public worldwide. An eligible minor (the age of majority is eighteen (18) in most states but twenty-one (21) in Mississippi and nineteen (19) in Alabama and Nebraska) must obtain a parent or legal guardian’s permission prior to entering. Further, entrants must be members in good standing of AudPop in order to participate in the contest and win the prize(s).

Employees of AudPop and REVOLT are not eligible to enter or win. The contest is governed by U.S. law, is subject to all applicable federal, state and local laws and regulations, and is void where prohibited.
