Official Campaign Rules

When you get hired for a job through AudPop, you agree to
- only get paid through AudPop for the job you were hired for through AudPop
- only work with the client now and in the future through AudPop

To get paid through AudPop, you must submit a W9 or W8BEN form and an invoice

You will get paid via check, Venmo, or PayPal - your preference.

You agree to the terms and this serves as our contract. You will not perform or sign a separate contract with the client for future work.

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

If you are hired as the filmmaker, you will provide the work in accordance with the client needs.

You will do all of the work through the AudPop platform.

You will be paid through AudPop within 30 business days of completing the work to satisfaction.

You will be expected to deliver up to 3 rounds of revisions for the work.

The client reserves the right to not hire from this pool of applicants if no one is deemed the right fit.

You have three days to apply for this position.

If you are awarded the project, You must submit a w9 to be paid for this completed work.

All materials used in the making of this video must be free and clear.

GENERAL
Chance plays no part in the determination of the winner(s) of any contest, campaign, Campaign, open-bid, pitch request, or request for proposal (a "Campaign") administered by Audience Awards Inc DBA AudPop. ("AudPop"). Campaigns administered as contests are skill-based. These Official Rules form a binding legal agreement between you and AudPop with respect to each and every skill-based Campaign in which you participate. You will be asked to review and agree to abide by these Official Rules as well as agree to certain stipulations as a condition to any submission you make in connection with each Campaign. You must follow all instructions and submit your entries to be considered in a Campaign.

These Official Rules provide the general rules applicable to all Campaigns administered by AudPop, and each Campaign may have additional rules located on the "Campaign Details" and/or "Campaign Requirements" pages for each Campaign (collectively, the "Campaign Details Pages"), which supplement or supersede parts of these Official Rules. Any reference in these Official Rules to "Official Rules" with respect to any Campaign shall be deemed to be a reference to these Official Rules and the Campaign Details Pages for such Campaign, taken as a whole. In the event of any conflict or inconsistency between these Official Rules and the rules or other information provided on the Campaign Details Pages for any Campaign, the rules or such other information posted on the Campaign Details Pages shall govern. These Official Rules may be modified from time to time by AudPop without any notice to any Member (as defined below), and any such modifications shall be effective as of the date they are posted on the AudPop website located at https://www.AudPop.com (the "Website").

SECTION 1: ELIGIBILITY
Campaigns are open only to natural persons, thirteen (13) years or older at the time of entry (or the age as otherwise specified for a particular Campaign on such Campaign's Campaign Details Page), who are registered users of the Website (each, a "Member"). All references in these Official Rules to "You" (including references to "Your") are to you, in your capacity as a Member. A minor (for these purposes, a person under 18 years of age, or 19 years of age if such person resides in Nebraska or Alabama or under 21 years of age in Mississippi, at of the time of entry) submitting an entry for a Campaign must receive his/her parent/legal guardian's permission and include his/her parent's/legal guardian's name and contact information on the official entry form where indicated. If a minor wins a prize, the prize shall be awarded to the minor's parent or guardian, who must execute the required documentation on the minor's behalf as a condition to the payment by AudPop of any prize money. If You are a minor, any references in these Official Rules to "You" shall be deemed to be Your parent or legal guardian, on your behalf. AudPop shall have no liability with respect to disputes between You and your parent(s) or legal guardian(s).

Campaigns are only open to US residents. The following individuals are not eligible to participate in a Campaign: employees, contractors, directors, and officers of AudPop or the sponsor of a Campaign (the "Sponsor") identified on the applicable Campaign Details Pages for such Campaign, and each of their respective parent companies, subsidiaries and affiliated companies, distributors, web design, advertising, fulfillment, judging and Campaign agencies involved in the administration, development, fulfillment, and execution of such Campaign (collectively, "Campaign Parties"), and any spouse, parent or child of any of the Campaign Parties.

BY ENTERING A CAMPAIGN, YOU AFFIRM THAT:

· YOU ARE ELIGIBLE TO ENTER;

· YOU REPRESENT AND WARRANT THAT YOU HAVE REVIEWED THE TERMS OF USE AND PRIVACY POLICY OF AUDPOP;

· YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES, THE TERMS OF USE OF THE WEBSITE, AND OTHER REQUIREMENTS POSTED ON THE CAMPAIGN DETAILS PAGES;

· YOU AGREE TO THAT ALL DECISIONS OF THE JUDGES, WHICH ARE FINAL, ARE BINDING AND CONCLUSIVE WITH RESPECT TO ALL MATTERS RELATING TO CAMPAIGNS;

· YOU AGREE THAT YOU ARE DELIVERING SERVICES TO THE SPONSOR IN YOUR OWN NAME AND ON YOUR OWN BEHALF;

· YOU UNDERSTAND THAT YOU ARE FREE TO ENTER INTO ANY CONTRACT TO PROVIDE SERVICES TO OTHER BUSINESS ENTITIES;

· YOU REPRESENT, WARRANT, AND COVENANT THAT YOU ARE CUSTOMARILY ENGAGED IN PROVIDING SERVICES OF THE SAME NATURE AS THE SERVICES PROVIDED TO AUDPOP;

· YOU UNDERSTAND THAT THE SERVICES YOU PROVIDE ARE OUTSIDE THE USUAL COURSE OF AUDPOP’S BUSINESS; AND

· YOU ARE FREE FROM CONTROL AND DIRECTION OF AUDPOP IN PROVIDING ANY SERVICES

SECTION 2: CAMPAIGNS
The entry periods for each Campaign, or the various Campaign phases, will be stated on the Campaign Details Pages for the Campaign. AudPop reserves the right to extend the deadline for submission of entries for any Campaign, or Campaign phase. AudPop reserves the right to suspend or cancel any Campaign, or Campaign phase.

SECTION 3: ADMINISTRATION OF CAMPAIGNS
Any Campaign may be structured differently from other Campaigns. For example, some Campaigns may have only one phase (e.g., create a music video, produce a "how to" video, or come up with a catchy tagline for a branded product or service), while others may have various phases (e.g., phase 1 is to come up with an idea for a product advertisement, phase 2 is to develop a "pitch" for such product advertisement, and phase 3 is to produce a completed 30-second video advertisement). Other Campaigns may request bids or pitches all of which will be reviewed and some of which may be selected by the Sponsor.
Any phase of a Campaign could be referred to generally as an "Idea Phase" (which also includes, but is not limited to, concepts, manifestos, stories, names, taglines, solutions, characters, suggestions or other text-based submissions), a "Pitch Phase" (which also includes, but is not limited to, storyboards, illustrations, animatics, scripts, or pitch videos) or a "Video Phase" (which also includes, but is not limited to, animations, movies, advertisements, episodes or a series). To the extent that the description of any Campaign (or phase thereof) does not fit within any of the categories described in the preceding sentence, the specifics pertaining to entry submission and judging will be set forth on the Campaign Details Pages for such Campaign. The following provisions shall apply to each phase of a Campaign, regardless of whether it is an Idea Phase, a Pitch Phase or a Video Phase.
a. Submission of Entries

REFER TO THE CAMPAIGN DETAILS PAGES FOR THE LIMIT ON THE NUMBER OF CAMPAIGN SUBMISSIONS (EACH, AN "ENTRY") PER MEMBER. ANY ENTRY SUBMITTED IN PERSON, BY MAIL, BY FAX, OR BY ANY MEANS OTHER THAN SUBMISSION VIA THE WEBSITE WILL NOT BE ACCEPTED.

An Entry may not be submitted by more than one Member. If an Entry was developed by more than one person, only the Member who submitted the Entry into the Campaign may be awarded a prize(s). All Entries must be received during the applicable entry period stated in the Campaign Details Pages and must satisfy all other requirements contained or referred to in these Official Rules and the Campaign Details Pages.

BY SUBMITTING AN ENTRY IN ANY PHASE OF A CAMPAIGN, YOU REPRESENT AND WARRANT TO AUDPOP AND THE SPONSOR OF SUCH CAMPAIGN THAT YOUR SUBMITTED ENTRY:

· Does not contain content that is in violation of or infringes any intellectual property rights of any third party (including, but not limited to, copyrights, trademarks, trade names, trade secrets, logos, and rights of publicity);

· Except as otherwise contemplated elsewhere in these Official Rules or Campaign Details Pages, has not been entered in any previous contest, and has not won any previous award;

· Will not be submitted in the future as an entry in any other contest, for an award or other honor without prior written consent from AudPop and the Sponsor of the Campaign;

· Has not been published or distributed previously in any media (including, without limitation, on the Internet);

· Does not contain any claim that is not and cannot be substantiated or that would be false and/or misleading to a reasonable consumer;

· If applicable, is compliant with the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255).

· Does not contain or anticipate the inclusion of any commercial content that promotes any product, service or other objective other than those of the Sponsor;

· Except as otherwise contemplated elsewhere in these Official Rules, does not contain content to which You do not own all right, title and interest (or have a legal right to use). Any elements appearing in a video, including, without limitation, stills, clip art, stock footage, supers, music (lyrics and/or melody) or other materials must be Your own original work created and performed by You, work that You have a legal right to use and for which You can provide proper legal documentation (e.g. licenses, assignments, purchase receipts), or be in the public domain; and

· Does not in any other way violate applicable laws and regulations or network standards.

If your Entry is an Entry in a Video Phase of a Campaign, You additionally represent and warrant to AudPop and the Sponsor of such Campaign that You have received written consent from every person who appears in or is heard (i.e. voiceover) in Your Entry (each, a "Video Participant") for such Video Participant's inclusion in such Entry, and You acknowledge that to be eligible to be selected as a winner of a Video Phase of a Campaign, You shall be required to provide proof of each Video Participant's consent in the form of a completed and signed AudPop Talent Release.

If your Entry is an Entry in a Video Phase of a Campaign, You additionally represent and warrant to AudPop and the Sponsor of such Campaign that You have received written consent from an authorized representative of every location that appears in Your Entry for inclusion in such Entry, and You acknowledge that You shall submit a completed and signed AudPop Location Release form to be eligible to be selected as a winner of a Video Phase of a Campaign.

As a condition of participating in the Video Phase of any Campaign (even if it is the sole phase of such Campaign), You agree, and represent and warrant that each Video Participant has agreed that in the event any of his or her likeness or voice, including, without limitation, performance and image in any form, as incorporated in Your Entry, in whole or in part, is used in any production such that the use is subject to the SAG Commercials Contract or any other applicable SAG contract, at the request of the Sponsor of such Campaign, to sign the applicable contract and accept the minimum amount of compensation due him or her pursuant to the SAG Commercials Contract or such other applicable SAG contract.

AUDPOP RESERVES THE RIGHT TO REJECT ANY ENTRY THAT IT DETERMINES, IN ITS SOLE AND ABSOLUTE DISCRETION, (A) CONTAINS UNSUITABLE OR OFFENSIVE CONTENT, INCLUDING, WITHOUT LIMITATION, NUDITY, SEXUALLY EXPLICIT, DISPARAGING, LIBELOUS OR OTHER INAPPROPRIATE CONTENT, OR (B) VIOLATES ANY OF THE REQUIREMENTS OF THESE OFFICIAL RULES. NO ENTRIES WILL BE RETURNED.

BY SUBMITTING AN ENTRY TO A CAMPAIGN, YOU ACKNOWLEDGE THAT YOUR ENTRY MAY BE POSTED BY AUDPOP OR SPONSOR, ON THEIR WEBSITES, IN SOCIAL MEDIA, ON BROADCAST, OR ANY OTHER LOCATION, IN THE SOLE AND ABSOLUTE DISCRETION OF AUDPOP OR THE SPONSOR.

BY SUBMITTING AN ENTRY TO A CAMPAIGN, YOU REPRESENT, WARRANT AND COVENANT THAT YOUR ENTRY IS WHOLLY ORIGINAL TO YOU (EXCEPTING MATERIALS INCORPORATED THEREIN SUPPLIED BY AUDPOP) AND IS CREATED FOR AUDPOP AND ITS LICENSEES AND ASSIGNS. YOU AGREE THAT YOUR ENTRY IS OR HAS BEEN SPECIALLY ORDERED BY AUDPOP FOR THE SPONSOR AS A "WORK MADE FOR HIRE," AS THAT TERM IS DEFINED IN THE UNITED STATES COPYRIGHT ACT, AND AUDPOP WILL OWN ANY AND ALL OF SUCH ENTRIES UPON CREATION AND SUBMISSION, AS THE AUTHOR THEREOF, INCLUDING, WITHOUT LIMITATION, ALL INTELLECTUAL PROPERTY AND ALL OTHER RIGHTS AND ALL PHYSICAL MATERIALS (INCLUDING ANY B-ROLL FOOTAGE), IN ALL MEDIA AND LANGUAGES NOW KNOWN OR HEREAFTER DEVISED (INCLUDING, BUT NOT LIMITED TO, FILM, TELEVISION, VIDEOCASSETTES, DVDS, DIGITAL AND OTHER STORAGE MEDIUMS, MOBILE MEDIA, INTERACTIVE DEVICES AND INTERNET AND ONLINE SYSTEMS) THROUGHOUT THE UNIVERSE, IN PERPETUITY, AS WELL AS IN AND TO THE RIGHT TO USE YOUR NAME, LIKENESS AND PHOTOGRAPHS, EITHER STILL OR MOVING, FOR ALL COMMERCIAL AND NON-COMMERCIAL PURPOSES (INCLUDING, BUT NOT LIMITED TO, MERCHANDISING, ADVERTISING AND PROMOTION PURPOSES) IN CONNECTION THEREWITH. YOU AGREE THAT AUDPOP OR ANY LICENSEE OR ASSIGNEE OF AUDPOP SHALL HAVE THE SOLE DISCRETION IN DETERMINING THE EXTENT AND MANNER OF USE OF ANY ENTRY AND IS NOT OBLIGATED TO USE OR EXPLOIT ANY ENTRY SUBMITTED IN WHOLE OR IN PART. TO THE EXTENT ANY ENTRY IS NOT VESTED EXCLUSIVELY IN AUDPOP AS A RESULT OF THE "WORK MADE FOR HIRE" NATURE OF THIS ASSIGNMENT, YOU HEREBY IRREVOCABLY AND EXPRESSLY ASSIGN AND GRANT TO AUDPOP IN PERPETUITY ALL RIGHTS OF ANY KIND AND NATURE THROUGHOUT THE UNIVERSE, INCLUDING ANY AND ALL COPYRIGHT, PATENT, TRADE SECRET, MORAL RIGHT, AND OTHER INTELLECTUAL PROPERTY RIGHTS, IN AND TO SUCH ENTRY, INCLUDING, BUT NOT LIMITED TO, THE RIGHT TO EXPLOIT SUCH ENTRY AND THE RIGHT TO CREATE ANY VERSIONS OR DERIVATIVE WORKS OF SUCH ENTRY. AUDPOP SHALL CO-OWN ANY DERIVATIVE WORKS CREATED FROM THE ENTRIES. IF YOUR ENTRY IS AN ENTRY IN A VIDEO PHASE OF A CAMPAIGN, YOU ADDITIONALLY REPRESENT AND WARRANT TO AUDPOP AND THE SPONSOR OF SUCH CAMPAIGN THAT YOU SHALL SUBMIT ALL RAW FILES, CAMPAIGN FILES, EDITING SEQUENCES AND A 1080P.MOV MASTER FILE, USING A PRORES, ANIMATION OR UNCOMPRESSED CODEC UPON REQUEST AT NO ADDITIONAL CHARGE. ACCORDINGLY, YOU AGREE THAT AUDPOP HAS THE EXCLUSIVE RIGHTS WITHOUT RESTRICTION TO SUBLICENSE, EDIT, ADAPT, DELETE, COMBINE WITH OTHER MATERIALS, TRANSFORM, TITLE (INCLUDING CHANGING THE TITLE), SUBTITLE, DUB, TRANSLATE, ADD TO, REPRODUCE, AND OTHERWISE REVISE ANY ENTRY, AND TO DISTRIBUTE, BROADCAST, TELECAST, CYBERCAST, PERFORM, PUBLICLY PERFORM, STORE, INDEX, CATEGORIZE, DISPLAY, PUBLICLY DISPLAY, SUBMIT AS AN ENTRY FOR AWARDS AND OTHER HONORS, AND OTHERWISE USE AND EXPLOIT SUCH ENTRY IN ANY AND ALL MANNERS OR METHODS NOW KNOWN OR LATER DEVISED, AND ANY AND ALL WORKS DERIVED FROM SUCH ENTRY. AUDPOP SHALL HAVE A NON- EXCLUSIVE RIGHT TO COPYRIGHT ANY ENTRY IN ITS OR ITS DESIGNEE'S NAME, AS THE CO- OWNER AND AUTHOR THEREOF, TO SECURE ANY AND ALL RENEWALS AND EXTENSIONS OF SUCH COPYRIGHTS AND TO FURTHER ASSIGN SUCH ENTRY. YOU AGREE AND CONFIRM THAT THE CONSIDERATION THAT YOU HAVE RECEIVED FROM AUDPOP CONSTITUTES FULL, ADEQUATE AND FAIR REMUNERATION FOR ALL RIGHTS OF EVERY KIND AND NATURE GRANTED TO AUDPOP AND THAT SUCH CONSIDERATION IS FAIRLY APPORTIONED TO EACH SUCH RIGHT. YOU HEREBY IRREVOCABLY AND EXCLUSIVELY GRANT AND ASSIGN TO AUDPOP IN PERPETUITY THROUGHOUT THE UNIVERSE ALL RIGHTS NOW KNOWN OR LATER RECOGNIZED WHICH YOU MAY HAVE IN ANY ENTRY IN THE NATURE OF NEIGHBORING RIGHTS OR RIGHTS OF REMUNERATION OR ANY RIGHT TO COLLECT ANY ROYALTIES, LEVIES OR OTHER SUMS ATTRIBUTABLE TO THE USE OF ANY COPYRIGHT, EXPLOITATION RIGHTS OR OTHER RIGHTS GRANTED TO AUDPOP IN SUCH ENTRY. TO THE EXTENT ANY SUCH RIGHTS ARE NOT ASSIGNABLE, YOU APPOINT AUDPOP AS THE EXCLUSIVE ADMINISTRATOR OF SUCH RIGHTS WITH SOLE AUTHORITY TO ADMINISTER AND MAKE COLLECTIONS FOR ANY SUCH RIGHTS. FURTHER, YOU HEREBY WAIVE AND AGREE TO WAIVE IN FAVOR OF AUDPOP ANY MORAL RIGHT, SIMILAR LAW IN ANY COUNTRY OF THE WORLD, OR OTHER RIGHT OR CLAIM THAT IS CONTRARY TO THE INTENT OF A COMPLETE TRANSFER OF RIGHTS TO AUDPOP IN EACH ENTRY AND AGREE NOT TO INSTITUTE SUPPORT, MAINTAIN, OR PERMIT ANY ACTION OR LAWSUIT ON THE GROUND THAT ANY USE OF THE ENTRY IN ANY WAY CONSTITUTES AN INFRINGEMENT OF ITS MORAL RIGHTS.
BY SUBMITTING AN ENTRY, YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE NO RIGHT, TITLE OR INTEREST IN OR TO ANY PROPERTY (INTELLECTUAL OR OTHERWISE) OF ANY SPONSOR ("SPONSOR PROPERTY"), EXCEPT TO THE EXTENT THAT YOU USE SPONSOR PROPERTY IN CONNECTION WITH YOUR ENTRY (A "PERMITTED USE"). EACH PERMITTED USE IN CONNECTION WITH A PARTICULAR CAMPAIGN WILL EXPIRE IMMEDIATELY UPON (A) YOUR FAILURE TO SUBMIT THE APPLICABLE WINNER FORMS WITHIN THE TIME REQUIRED PURSUANT TO THE TERMS OF SUCH CAMPAIGN, OR (B) UPON AUDPOP'S ANNOUNCEMENT OF THE WINNING ENTRIES IN SUCH CAMPAIGN, WHICHEVER OCCURS FIRST. ANY USE OF ANY SPONSOR PROPERTY OTHER THAN A PERMITTED USE IS STRICTLY PROHIBITED. IF YOU VIOLATE THE IMMEDIATELY PRECEDING SENTENCE, YOU SHALL BE DISQUALIFIED FROM SUCH CAMPAIGN AND MAY BE BARRED FROM THE WEBSITE INDEFINITELY, AS DETERMINED BY AUDPOP IN ITS SOLE AND ABSOLUTE DISCRETION.

b. Selection of Entry Winners
The Campaign Details Pages for each Campaign will set forth the number of winning places for which Members are competing against one another. Those places with respect to any Campaign will be considered "in the money" for purposes of these Official Rules. A team of qualified judges selected by the Sponsor, including a head judge for each Campaign (the "Head Judge"), will select from the eligible Entries based on certain factors determined by the Sponsor. Without limiting the preceding sentence, and in addition to any factors that may be separately stated on the Campaign Details Pages for a Campaign, the judging criteria for any Campaign (or phase of any Campaign) shall be: (1) viability of the Entry as a premise for the final objective of the Campaign (e.g., commercial advertisement, music video, how-to-video, etc.); (2) creativity; and (3) effectiveness in promotion of the brand that is the subject of such Campaign. The Entries with the highest rankings from the judges for such Campaign are referred to in these Official Rules as the "Entry Finalists," and will be eligible, subject to the other provisions of these Official Rules, to receive the prize designated for such place of finish in the money on the Campaign Details Pages for such Campaign. In the case of a tie, the tie will be broken by the ranking of the Head Judge based the judging criteria. If multiple Entries in a Campaign are substantially similar to one another, as determined by the judges for such Campaign, the Entry that was first submitted to AudPop will be judged, and all other substantially similar Entries will be rejected. All decisions of the judges are final.
AudPop will post the name of each of the Members responsible for submitting the Entry Finalists (each, a "Finalist Member") on the Campaign Details Pages for such Campaign and such Member's "Dashboard" page promptly after the close of the Entry Period. Each Finalist Member must complete, sign and submit a Winner Affidavit of Eligibility & Release, an AudPop Intellectual Property Rights Assignment, and the relevant release forms (all of which are available for download from the Website) (collectively, the "Winner Forms") to AudPop within five (5) business days after the completion of the final phase of such Campaign as a condition to receiving any prize in connection with such Member's winning Entry. AudPop shall have no obligation to pay any prize to any Finalist Member in the event that such Finalist Member fails to timely submit the Winner Forms to AudPop.

Any Finalist Member whose Entry is the basis of a winning Entry in any subsequent phase of a Campaign may, subject to such Member's timely submission of the Winner Forms described in the immediately preceding paragraph, receive an additional prize for each winning entry that is based upon such Finalist Member's Entry. For example, and without limiting any provision of these Official Rules, if a Member submits a winning Entry in an "Idea" phase of a Campaign, which is used by another Member in a subsequent phase of the same Campaign to create a winning Entry in a "Pitch" or "Video" phase of the same Campaign, as long as such Member timely submits the Winner Forms as provided in the immediately preceding paragraph, in addition to receiving a prize for submitting a winning entry in the "Idea" phase of the Campaign, such Member may receive a prize for each winning Entry (e.g., a winning "Pitch" Phase Entry and/or winning "Video" Phase Entry) that was based on such Member's "Idea" Phase Entry.

c. Exhibition Viewing
If AudPop and the Sponsor agree that a Campaign (or phase thereof) will have an exhibition viewing component, then all valid entries for such Campaign (or phase thereof), i.e., all entries that satisfy the eligibility criteria stated in these Official Rules, will be posted for the public (ages thirteen or older) to view at the Website during the "Exhibition Viewing" phase of a Campaign (the "Exhibition Viewing Period"). Being viewed during the Exhibition Viewing Period in accordance with the on-screen instructions for such phase of a Campaign will be a factor in determining the exhibition viewing winner (the "Exhibition Viewing Winner"). See the Campaign Details Pages for each Campaign to determine whether there is an Exhibition Viewing Period for such Campaign and to view the specific rules related to the Campaign. Any Member that engages in or is suspected of engaging in vote farming, vote exchanges, or any other form of vote manipulation, will be disqualified at AudPop or Sponsor's discretion.
If applicable, AudPop will post the name of the Exhibition Viewing Winners on the Campaign Details Pages for such Campaign and such Member's "My AudPop" page promptly after the close of the Exhibition Viewing Period. Each Exhibition Viewing Winner must complete, sign and submit Winner Forms (as defined above) to AudPop prior to the completion of the Video Phase of such Campaign as a condition to receiving any prize in connection with such Member's Entry. AudPop shall have no obligation to pay any prize to any Exhibition Viewing Winner in the event that such Exhibition Viewing Winner fails to timely submit the Winner Forms to AudPop.

SECTION 4: GENERAL CONDITIONS
By participating in any Campaign (or phase thereof), You agree to be bound by these Official Rules and the decisions of the judges, which are final on all matters pertaining to any Campaign or phase thereof, and You waive any right to claim ambiguity in any Campaign Details Pages or these Official Rules. Neither AudPop nor the Sponsor is responsible for lost, late, or misdirected entries or submissions.

· AUDPOP RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION AND WITHOUT ANY NOTICE, TO DISQUALIFY ANY ENTRY AT ANY TIME DURING A CAMPAIGN (OR PHASE THEREOF) IF THE MEMBER WHO SUBMITTED SUCH ENTRY PUBLISHES IT (VIA THE INTERNET OR OTHERWISE) PRIOR TO THE COMPLETION OF THE CAMPAIGN (OR FINAL PHASE THEREOF). IN ANY SUCH INSTANCE, AUDPOP RESERVES THE RIGHT TO EXPEL SUCH MEMBER FROM THE AUDPOP COMMUNITY INDEFINITELY.

· IN THE EVENT THAT A SPONSOR CHOOSES TO PURCHASE ANY ENTRY OF A MEMBER THAT DOES NOT PLACE IN THE MONEY FOR ITS RESPECTIVE PHASE OF SUCH SPONSOR'S CAMPAIGN (A "NON-WINNING ENTRY"), THEN AUDPOP WILL REMIT PAYMENT TO SUCH MEMBER AS SOON AS COMMERCIALLY PRACTICABLE AFTER RECEIPT BY AUDPOP OF PAYMENT FROM SPONSOR FOR SUCH NON-WINNING ENTRY (WHICH CONSIDERATION SHALL BE VALUED AT NO LESS THAN THE LOWEST VALUE PRIZE AWARDED TO A WINNING ENTRY IN SUCH PHASE OF SUCH CAMPAIGN).

· TO CLAIM ANY PRIZE AS A RESULT OF ANY CAMPAIGN (OR PHASE THEREOF), UNLESS PROHIBITED BY LAW, YOU MUST SIGN AND RETURN TO AUDPOP A WINNER AFFIDAVIT OF ELIGIBILITY AND RELEASE AS INDICATED IN THESE OFFICIAL RULES (SEE ABOVE). IF YOU ARE A MINOR, THEN YOUR PARENT OR LEGAL GUARDIAN MUST SIGN THE WINNER AFFIDAVIT OF ELIGIBILITY AND RELEASE. TO CLAIM ANY PRIZE AS A RESULT OF ANY CAMPAIGN (OR PHASE THEREOF), WITHOUT LIMITING ANYTHING ELSE CONTAINED IN THESE OFFICIAL RULES OR THE WINNER FORMS, YOU (OR YOUR PARENT OR LEGAL GUARDIAN IF YOU ARE A MINOR) MUST IRREVOCABLY GRANT AND ASSIGN TO AUDPOP, THE SPONSOR AND ITS AFFILIATES, PARENTS, SUBSIDIARIES, LEGAL REPRESENTATIVES, SUCCESSORS, ASSIGNS, AGENTS AND LICENSEES, THE UNCONDITIONAL, SUBLICENSABLE, AND PERPETUAL RIGHT AND PERMISSION TO COPYRIGHT (AS APPROPRIATE), REPRODUCE, ENCODE, STORE, COPY, TRANSMIT, PUBLISH, POST, BROADCAST, DISPLAY, PUBLICLY PERFORM, ADAPT, EXHIBIT AND/OR OTHERWISE USE OR REUSE (WITHOUT LIMITATION AS TO WHEN OR TO THE NUMBER OF TIMES USED), YOUR ENTRY, NAME, CITY OF RESIDENCE, IMAGE, VOICE, LIKENESS, STATEMENTS AND BIOGRAPHICAL MATERIAL, AS WELL AS ANY ADDITIONAL PHOTOGRAPHIC IMAGES, VIDEO IMAGES, PORTRAITS, INTERVIEWS OR OTHER MATERIALS RELATING TO YOU AND ARISING OUT OF YOUR PARTICIPATION IN A CAMPAIGN IN ANY MEDIA THROUGHOUT THE UNIVERSE FOR ANY PROPER PURPOSE, WITHOUT LIMITATION, AND WITHOUT ADDITIONAL REVIEW, COMPENSATION, OR APPROVAL FROM YOU OR ANY OTHER PARTY.

· Your relationship with AudPop is that of an independent contractor, and nothing in these Official Rules are intended to or should be construed to, create an employment relationship. You will not be entitled to any of the benefits that AudPop may make available to its employees. You are not authorized to make any representation, contract, or commitment on behalf of AudPop unless specifically requested or authorized in writing to do so by AudPop. For the purposes of these Official Rules, (a) you will be solely responsible for all tax returns and payments required to be filed with or made to any federal, state or local tax authority with respect to your performance of services and receipt of prizing in connection with these Official Rules; (b) you will regularly report amounts, if any, paid directly to you by AudPop by filing Form 1099-MISC with the Internal Revenue Service to the extent required by law; (c) because you are an independent contractor, AudPop will not withhold or make payments for social security, make unemployment insurance or disability insurance contributions, or old-age pensions or annuities or social security payments which are measured by wages, salaries or other remuneration paid to you; and (d) the AudPop will not obtain workerâs compensation insurance on your behalf. You agree to accept exclusive liability for complying with all applicable state and federal laws governing self-employed individuals, including obligations such as payment of taxes, social security, disability, and other contributions based on fees paid to you, your agents, or your employees. You are free to enter into any contract to provide services to other business entities and you represent and warrant that you are customarily engaged in the providing of services of the same nature as the services provided to AudPop. The services you are providing are outside the usual course of AudPop’s business. You are free from the control and direction of AudPop in providing any services.

· Winners of any phase of a Campaign may also be required to sign additional documents, as deemed necessary by AudPop or the Sponsor in their sole and absolute discretion, to effectuate the terms and conditions set forth in these Official Rules. The absence of any such additional documents shall not diminish the effect of any license, assignment, or transfer of any rights by You to AudPop, the Sponsor, or its respective successors and assigns. The Member is the one individual person who registered on the Website to participate in the Campaign. In the event of a dispute regarding the identity of a Member, the dispute will be resolved in favor of the individual who is both the authorized Campaign registrant and, if available, the Authorized Email Account Holder of the Member who registered to participate in the Campaign. "Authorized Email Account Holder" is defined as the natural person assigned an email address by an Internet access provider, online service provider, or other organization (i.e., business, educational institution) responsible for assigning email addresses for the domain associated with the submitted email address.

· Except as otherwise stated herein, any personal information about You collected in connection with any Campaign will be used and disclosed only in accordance with the Privacy Policy of AudPop, access to which is provided on the Website. By entering a Campaign, You expressly agree to receive email notifications from AudPop regarding the status of such Campaign. Unless You indicate that You do not wish to receive email from AudPop, You may also receive AudPop's email regarding AudPop's products and services and other information that might be of interest to You.

· If for any reason a Campaign is not capable of running as planned, including without limitation, lack of qualified entries, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of such Campaign, AudPop reserves the right, at its sole discretion, to cancel, modify or terminate such Campaign. However, Sponsor is not able to cancel for convenience once a Campaign is live on the Website. AudPop reserves the right, in its sole and absolute discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of a Campaign; (b) violating these Official Rules; or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. AudPop reserves the right to require any potential winner of any phase of a Campaign to submit to a confidential background check to confirm eligibility as a condition of awarding the prize to help ensure that the use of any such person in advertising or publicity for such Campaign will not bring any of the Campaign Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on such Campaign as determined by Sponsor in its sole and absolute discretion.

· If any provision of these Official Rules shall be deemed to violate any federal, state, or municipal law, such provision shall be deemed to be amended to conform to such law and all other provisions shall remain in full force and effect. The interpretation and enforcement of these Official Rules will be governed by the laws of the State of California, USA, except to the extent required to be governed by the local law in the place of residence of a Member. Each Campaign is subject to all applicable national, federal, provincial, state, and local laws.

SECTION 5: LIMITATIONS OF LIABILITY AND RELEASE

· No liability or responsibility is assumed by AudPop, the Sponsor or any of their respective parent companies, subsidiaries, affiliates, successors, assigns, advertising and promotions agencies, and their respective employees, agents, and contractors ("Released Parties") resulting from Your or any other Member's participation in or attempt to participate in a Campaign or ability or inability to upload or download any information in connection with participating in a Campaign. No responsibility or liability is assumed by the Released Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of a Campaign: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any email transmissions to be sent or received; lost, late, delayed or intercepted email transmissions; inaccessibility of the Website in whole or in part for any reason; traffic congestion on the Internet or the Website; unauthorized human or non-human intervention in the operation of a Campaign, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of a Campaign, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with a Campaign. None of the Released Parties are responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Website. Use of the Website is at Your own risk.

· None of the Released Parties are responsible for any death, personal injury or property damage or loss of any kind which may be sustained by You or any other Member or any third party, regardless of whether or not the third party is participating in the Campaign, from participation in any Campaign (or phase thereof), use of the Website, or the downloading of any information from the Website. By participating in a Campaign, You release and agree to hold harmless each of the Released Parties from and against any and all claims, damages or liabilities arising from or relating to Your participation in any Campaign, including, without limitation, death, personal injury or property damage. None of the Released Parties shall be liable to any third parties for any claims, damages or liabilities arising from or relating to Your participation in any Campaign, including, without limitation, death, personal injury or property damage. By accepting a prize in a Campaign, You agree that the Released Parties shall not be liable for any death, loss or injury resulting from participation in such Campaign, or the acceptance or use of any prize. None of the Released Parties shall be liable in the event that any portion of a Campaign is cancelled due to condition beyond their control, including, without limitation, a lack of significant participation, as determined by AudPop, in its sole and absolute discretion.

· None of the Released Parties are liable for any dispute between collaborators arising under or related to a Campaign, including, without limitation, the distribution of any prize within a group of collaborators. In the event of a dispute between collaborators or regarding the identity of a Member that cannot be resolved to AudPop's satisfaction, the affected Member (and his or her Entry) may be deemed to be ineligible to participate in a Campaign.

· By entering a Campaign, You agree that any and all other disputes, claims, actions and causes of action arising out of or connected with such Campaign or the prizes awarded, and all issues and questions concerning the validity, interpretation and enforceability of these Official Rules shall be resolved individually, without resort to any form of class action, and exclusively in a federal or state court of competent jurisdiction sitting in Los Angeles, California. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and, subject to applicable law, never shall include consequential, incidental or punitive damages, and in no event attorneys' fees or costs.

· CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF A CAMPAIGN MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION AND EXPULSION FROM THE WEBSITE AND AUDPOP COMMUNITY. SHOULD SUCH AN ATTEMPT BE MADE, AUDPOP RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

SECTION 6: INDEMNIFICATION

· You agree to indemnify, defend and hold the Released Parties harmless from and against any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Released Parties due to or arising out of or reasonably related to Your participation in a Campaign, including, but not limited to, bodily injury, death, property damage, violation or infringement of trademark, copyright, or other intellectual property rights, right of publicity, right of privacy and defamation. You agree to release and indemnify and hold harmless each of the Released Parties from and against any and all claims that any Campaign entry, advertising, promotion, presentation, Web content or any other material subsequently produced, presented, and/or prepared by or on behalf of any of the Released Parties (individually or collectively) infringes on the rights of Your work as contained in any such Entry.

SECTION 7: WINNERS LIST/RULES/QUESTIONS

· The names of the winners of each phase of a Campaign will be available on the Website for at least sixty (60) days after the completion of the final phase of such Campaign, unless the Sponsor requests that the winners remain private. IN the event that the winners are made private, you may request to see the winners list. See the Website for more information.

· Please direct any questions regarding a Campaign to support@audpop.com; do not contact the Campaign Sponsor.

Official Project Rules Template

1.         Preferred format for video upload to the AudPop website is HD 720p 16x9. Acceptable file formats are .mov and .mp4. Acceptable codecs are H.264 (MP4), MPEG-4, H.263, MPGV, WMV, DivX. You will also be required to provide a 1080p .mov master file, using a ProRes, Animation, or Uncompressed Codec.

2.         Unless provided otherwise, all work must be your own original creation and free of any copyrighted material. You shall provide detailed information of your work regarding the source, the creator and background information as requested by AudPop

3.         In the event you utilize any third-party materials, such as music provided by a third-party music provider not provided by AudPop, you must obtain full written license and consent from the owner of such third-party materials and provide such license and consent forms to AudPop.

4.         BY SUBMITTING A PROPOSAL AND/OR VIDEO ENTRY, YOUR SUBMISSION IMMEDIATELY BECOMES CO-OWNED BY AUDPOP AND THE INSTITUTE FOR FAMILY – SEE OFFICIAL RULES FOR MORE DETAILS ABOUT OWNERSHIP OF ENTRIES. YOU MAY NOT PUBLICLY SHARE OR PUBLISH YOUR SUBMISSION IN ANY MANNER AND YOU MAY NOT POST OR UPLOAD YOUR SUBMISSION TO ANY WEBSITE OR VIDEO HOSTING SITE (INCLUDING, BUT NOT LIMITED TO, FACEBOOK, YOUTUBE OR VIMEO), WITHOUT THE PRIOR EXPRESS WRITTEN CONSENT OF AUDPOP. FAILURE TO COMPLY WITH THIS REQUIREMENT MAY RESULT IN DISQUALIFICATION OF YOUR ENTRY IN THE PROJECT.

5.         Submissions cannot contain any profanity, offensive language, nudity or otherwise objectionable material, the determination of which is solely at the discretion of Sponsor.

6.         Submissions must not portray Sponsor in a negative way, the determination of which will solely reside with Sponsor.

7.         By submitting to this project, you acknowledge that your work may become subject to public voting on the AudPop website. Public voting may be used to help the project sponsor determine the final rank order.

8.         Videos must be in the English language or subtitled.

9.         Limit 5 proposals per member.

10.      You must be at least thirteen (13) years or older to enter.

11.      The Sponsor reserves the right to repost the contest.

12.      In addition to the judging criteria stated in the OFFICIAL RULES, Pitches will also be evaluated on that member's ability to execute the final Video based on their prior work and experience as a filmmaker.

13.      The Sponsor will be entitled to reasonable revisions on the finished Videos without providing additional compensation. Remember it's easier to re-edit than re-shoot so try to get as much coverage as possible.

14.      See OFFICIAL RULES for additional contest information, terms and conditions. If there is any conflict or inconsistency between these requirements and the Official Rules, the terms and conditions of these requirements shall prevail.
